Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a binding legal agreement between you ("Subscriber" or "you") and GuestSet ("GuestSet", "we", or "us") governing your access to and use of the GuestSet platform and all associated services (collectively, the "Service"). By registering for or using the Service, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Eligible Use
The Service is available exclusively to hotels, resorts, serviced apartments, guesthouses, tour operators, and related hospitality businesses registered and operating within the Republic of India. By subscribing, you represent that your business is duly registered under applicable Indian law and holds any licences required to operate in the hospitality sector.
3. Subscription & Payment
3.1 Plans and Billing
GuestSet offers Starter, Growth, and Pro subscription plans as described on the Pricing page. All prices are in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise. We reserve the right to change pricing with 30 days' advance notice to existing subscribers.
3.2 Payment Processing
Payments are processed by Razorpay Software Private Limited. By providing payment details, you authorise Razorpay to charge your designated payment method for the subscription amount on your billing cycle. GuestSet does not store payment card details.
3.3 Auto-renewal
Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled at least 3 business days before the renewal date. You will receive a reminder email 7 days before each renewal.
3.4 Free Trial
New accounts receive a 14-day free trial with full access to the subscribed plan. No payment is charged during the trial period. If you do not cancel before the trial ends, your card on file will be charged for the first billing period.
3.5 Cancellation & Refunds
You may cancel your subscription at any time from the Settings > Subscription page. Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for partial periods except where required by applicable law or at our sole discretion.
3.6 Non-payment
Failure to pay within 7 days of a failed charge will result in suspension of the account. Data will be retained for 90 days post-suspension before permanent deletion. We will make reasonable efforts to contact you before deletion.
4. Acceptable Use
You agree not to:
- Use the Service for any purpose that is unlawful under Indian law.
- Reverse engineer, decompile, or attempt to extract the source code of the platform.
- Resell, sublicense, or commercially exploit access to the Service without prior written consent from GuestSet.
- Upload or transmit any malware, viruses, or malicious code.
- Attempt to gain unauthorised access to other accounts or GuestSet systems.
- Use the platform to send unsolicited communications (spam) to guests.
- Store or process data that violates any third party's intellectual property, privacy, or other rights.
Violation of these terms may result in immediate suspension or termination without refund.
5. Data Ownership
You own your data. All guest records, reservation data, folio information, and other business data you enter into GuestSet remain your property at all times. You grant GuestSet a limited, non-exclusive, royalty-free licence to process this data solely for the purpose of providing the Service.
Upon cancellation or termination, you may export all your data from the platform within 90 days. After that period, GuestSet will securely delete your data except where retention is required by law (see our Privacy Policy).
GuestSet may use anonymised, aggregated data derived from platform usage (never individual guest PII) for product improvement, benchmarking, and industry reporting.
6. Intellectual Property
All software, algorithms, UI designs, trademarks, and other intellectual property in the GuestSet platform are owned by GuestSet or its licensors. These Terms do not grant you any intellectual property rights in the platform beyond the limited right to use the Service as described herein.
7. Service Availability & SLA
We target 99.9% monthly uptime for the platform. Scheduled maintenance windows will be announced at least 24 hours in advance. Unplanned outages will be communicated via the GuestSet status page and email. Downtime caused by third-party providers (Razorpay, Meta WhatsApp API, etc.), force majeure events, or your own infrastructure is excluded from SLA calculations. Pro plan subscribers are eligible for SLA credits as described in their contract.
8. Confidentiality
Each party agrees to maintain the confidentiality of non-public information shared by the other party in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GUESTSET DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET ALL OF YOUR REQUIREMENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUESTSET'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE — WHETHER IN CONTRACT, TORT, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO GUESTSET IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.
IN NO EVENT SHALL GUESTSET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, DATA, OR GOODWILL, EVEN IF GUESTSET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GuestSet is not liable for decisions made based on AI-generated insights, forecasts, or recommendations provided by the platform. All AI outputs are advisory in nature and do not constitute professional financial or legal advice.
11. Indemnification
You agree to indemnify, defend, and hold harmless GuestSet and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of applicable law; or (d) any data you store or process on the platform.
12. Termination
Either party may terminate these Terms at any time. You may do so by cancelling your subscription. GuestSet may terminate or suspend your account immediately if you materially breach these Terms, engage in fraudulent activity, or pose a risk to other users or the platform. Upon termination, your right to access the Service ceases immediately.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Rajasthan, India. Before initiating formal proceedings, both parties agree to attempt good-faith resolution through mediation for a period of 30 days.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email to account administrators at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your subscription before the effective date.
15. Miscellaneous
- Entire agreement: These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between the parties.
- Severability: If any provision of these Terms is held invalid, the remaining provisions will continue in full force.
- Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
- Force Majeure: GuestSet shall not be liable for delays or failures caused by circumstances beyond our reasonable control.
- Assignment: You may not assign these Terms without GuestSet's prior written consent. GuestSet may assign these Terms in connection with a merger, acquisition, or sale of assets.
